Strata Terms and Conditions

1. Overview of the Platform

Strata ("we," "us," or "our") is operated by TryStrata, Inc., a Delaware C corporation doing business as "Strata." We provide an online environment that allows:

• Website Visitors: Individuals who can browse publicly accessible pages without creating an account.
• Registered Users: Licensed and unlicensed healthcare professionals who create accounts, undergo license verification ("Verification Process") when applicable, and post reviews of products or services offered by businesses.
• Company Representatives (Service Providers): Individuals or entities who manage product or service pages, respond to reviews, and may update their listing information.

Service Provider listings may be created by Strata using publicly available or otherwise lawful sources. Only Registered Users may post reviews, which are subject to screening by us before they become publicly viewable.

1.1 Claiming or Modifying Listings

Service Providers may claim or request modifications to their listings by following the instructions provided on the Platform or contacting us directly at hello@trystrata.com. Please note that while we strive to maintain accurate listings, we do not guarantee the completeness or ongoing accuracy of any listing content.

1.2 Nature of Verification

We make reasonable efforts to verify credentialed Registered Users' licensure status through official regulatory bodies when applicable, third-party databases, or other trusted resources. However, Strata does not guarantee the ongoing accuracy or validity of any licensure information.

2. Eligibility

• Website Visitors: Must be at least 18 years old or have the permission of a legal guardian to browse the Platform.
• Registered Users: Must be at least 18 years old and must successfully complete our Verification Process before posting reviews.
• Company Representatives: Must be at least 18 years old and have the legal authority to manage a business profile on behalf of the Service Provider.

By using the Platform, you represent and warrant that you meet the applicable eligibility requirements and that you are not restricted from accessing or using the Platform under any applicable laws, regulations, or orders.

3. No Endorsement, No Medical or Financial Advice

• No Endorsement: Strata is a neutral directory. Any mention of a Service Provider or Registered User does not constitute endorsement, recommendation, or guarantee of their services or products. Listings, reviews, and other content are provided for informational purposes only, and users should independently verify any information before making decisions.
• No Medical or Financial Advice: Strata does not offer medical, financial, or professional advice. The information on the Platform, including reviews, is not intended to replace professional judgment or consultation. Always seek the advice of a qualified professional.
• No Doctor-Patient or Advisor-Client Relationship: Your use of the Platform does not create a doctor-patient or advisor-client relationship between you and Strata or between you and any individual or entity featured on the Platform.
• User Responsibility: You acknowledge and agree that you are solely responsible for independently verifying the accuracy, suitability, and legality of any information or services you obtain from the Platform. While we may conduct a Verification Process for Registered Users, we do not guarantee the completeness or ongoing validity of such verification.

4. Content Ownership and Responsibility

• Unclaimed Listings: Created using publicly available or lawful sources. Strata does not warrant the accuracy of such content. Service Providers are encouraged to claim and update their listings to ensure accuracy.
• User-Generated Content: Registered Users and Service Providers retain ownership of their respective posts, but by posting, they grant Strata a non-exclusive, royalty-free, worldwide license to display, distribute, and promote the content on the Platform. This license may be perpetual or survive account deletion for archival or legal compliance purposes.
• Right to Edit or Remove: We reserve the right, at our sole discretion, to edit (for length or formatting), remove, or refuse to publish any content for any reason, including (but not limited to) violation of these Terms or our policies. Edits will be limited to non-substantive changes that do not alter the original intent or factual claims unless the content violates these Terms or the law.
• No Guarantee of Publication: We are under no obligation to publish or maintain any content.

5. User-Generated Content (Reviews and Responses)

• Verification and Screening
  • Registered Users must pass our Verification Process before posting reviews.
  • Strata screens each review before publication to ensure it complies with our policies.
• Prohibited Content
  • Reviews must not contain defamatory, false, misleading, or unlawful material, nor content deliberately misrepresenting Strata or others in a defamatory manner.
  • We may remove or edit content violating these Terms or applicable laws.
• Scope of License
  • By submitting reviews, Registered Users grant Strata and the reviewed Service Provider a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to:
  • Display, distribute, and reproduce the review on the Platform.
  • Edit for clarity or length without altering the review's substantive meaning (unless violation of policy or law requires removal or substantive edits).
  • Use the review in marketing or promotional materials (e.g., social media posts, emails).
• Service Providers' Use
  • Service Providers may use reviews about their own services or products for promotional purposes, provided they do not alter the review's substance and include attribution to Strata.
• Dispute Resolution for Reviews
  • If a Registered User believes their review was misused or unfairly edited, or a Service Provider disputes its content, they may contact us at hello@trystrata.com
  • We will review the claim in our sole discretion within a reasonable time (generally within 30 days) and take appropriate action.

6. Authority to List and Display Information

• Creation of Listings: Strata may create listings without prior notice or consent from the Service Provider using publicly available or otherwise lawful data.
• Informational Use: These listings do not imply endorsement or representation by Strata. Users should verify the accuracy of listing information before relying on it.
• Maintenance of Listings: We reserve the right to maintain lawful and factual listings even if a Service Provider objects to reviews or other aspects of the listing, unless otherwise required by law.
• Updating or Removing Listings
  • Service Providers who believe their listing is inaccurate or who dispute a review may request updates or removal by contacting Strata.
  • Strata will evaluate such requests but is not obligated to remove factual or lawful data.
  • We may correct or update data to ensure accuracy and compliance with applicable laws.

• Disclaimer of Warranties
  • To the fullest extent permitted by law, Strata disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
  • We do not guarantee the accuracy, completeness, or timeliness of information on the Platform.
• Cap on Liability
  • In no event shall Strata's total liability to you exceed (a) the total fees (if any) paid by you to Strata in the six (6) months preceding the claim, or (b) one hundred U.S. Dollars (USD $100), whichever is greater.
• Exclusion of Damages
  • To the fullest extent permitted by law, Strata will not be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, or business interruption. Nothing in these Terms is intended to exclude or limit any conditions, warranties, rights, or liabilities where such exclusion or limitation is prohibited under applicable law.

10. Dispute Resolution and Arbitration

• Binding Arbitration
  • Except where prohibited by law, any dispute arising out of or relating to these Terms or the Platform shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) pursuant to its rules.
• Forum and Venue
  • Arbitration will take place in San Francisco, California, unless the parties agree otherwise or applicable law requires a different location.
  • Each party will be responsible for its own arbitration costs unless the arbitrator decides otherwise.
• Class Action Waiver
  • You waive the right to participate in any class, collective, or consolidated action.
• Small Claims Exception
  • You or Strata may elect to bring an individual action in small claims court if the claim is within the jurisdictional limits of that court.

11. Force Majeure

Strata will not be liable for delays or failures caused by events beyond its reasonable control, including but not limited to natural disasters, wars, terrorism, governmental actions or regulations, pandemics, labor disputes, or internet outages.

12. Miscellaneous

• Changes to Terms
  • Strata may update or modify these Terms from time to time. We will post the revised Terms on the Platform, and such changes will become effective immediately upon posting or as otherwise stated. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms.
• Governing Law
  • These Terms and any dispute arising out of or relating to them will be governed by the laws of the State of Delaware, without regard to conflict of law principles.
• Entire Agreement
  • These Terms, together with our Privacy Policy, constitute the entire agreement between you and Strata concerning the Platform. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
• No Waiver
  • Our failure to enforce any right or provision under these Terms will not be considered a waiver of that right or provision.
• Severability
  • If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.

13. Paid Services, Premium Features, and Sponsored Content

• Premium Plans and Features
  • Some Service Providers may purchase premium features for their pages (e.g., custom colors, media uploads, special offers/promotions, analytics). Others may keep free basic plans or allow their listings to remain unclaimed.
  • These premium or paid enhancements do not influence search results or reviews. All review content and ratings remain determined solely by Registered Users and Platform policies.
• Sponsored Search Results
  • Certain Service Providers may pay for sponsored search result placement. Sponsored results will be clearly marked as "Sponsored" or with similar labeling and will appear at the top of relevant search results.
  • Sponsored results may also appear on other non-paid pages and on Registered User profile pages (e.g., in a “Recommended for You” section).
  • Sponsorship or paid advertising does not constitute an endorsement by Strata of any product, service, or provider.
• No Impact on Reviews or Ratings
  • Any paid features—including sponsored placements—will not influence or alter user-generated reviews, ratings, or the order in which verified reviews appear. Reviews remain a matter of individual Registered Users' opinions and are screened per our policies.
  • Strata maintains a policy of neutrality regarding user-generated content, and paid features do not modify, prioritize, or suppress reviews.
• Disclaimer
  • While sponsored listings and premium features may offer enhanced visibility or cosmetic customizations, they do not imply any guarantee of outcomes, success, or user engagement.
  • All users and Service Providers acknowledge that Strata provides these paid features for marketing and informational purposes only.
